1. These Terms of Use / Platform
Terms ("Terms") govern access to and use of the DateShala website,
mobile application, web application, software, digital services, content, chat,
audio call, video call, wallet, recharge, subscription, paid interaction and
other services offered under the name "DateShala" (collectively, the
"Platform").
2. The Platform is owned and operated
by [Legal Entity Name], a company incorporated under the laws of India, having
its registered office at [●] ("Company", "DateShala",
"we", "us" or "our").
3. By accessing, registering on,
downloading, browsing, purchasing, subscribing to, or using the Platform in any
manner, you agree to be bound by these Terms, the User Terms, Host Policy,
Privacy Policy, Refund and Cancellation Policy, Community Guidelines, Safety
Policy, and any other policy or additional terms published or communicated by
DateShala from time to time.
4. If you do not agree to these
Terms, you must not access or use the Platform.
5. These Terms are intended to
operate as the general umbrella terms for the Platform. Specific role-based
terms may apply to Users, Hosts, Experts, Advisors, Creators, Consultants,
vendors, affiliates or other persons. In the event of conflict, the specific
terms applicable to the relevant role shall prevail to the extent of such
conflict, unless expressly stated otherwise.
In case of
any inconsistency between these Terms and any role-specific or subject-specific
terms applicable to a User, Host, Expert, Advisor, Creator, service provider or
any specific service, the role-specific or subject-specific terms shall prevail
to the extent of such inconsistency, unless expressly stated otherwise.
1.
Definitions
1.1. "Account" means a
registered account created by any person to access or use the Platform.
1.2. "Applicable Law" means
all laws, statutes, rules, regulations, notifications, directions, orders,
judgments, policies, standards, and guidelines applicable in India and/or any
other relevant jurisdiction, including the Information Technology Act, 2000,
the rules framed thereunder, consumer protection laws, payment laws, tax laws,
and applicable data protection laws.
1.3. "Community Guidelines"
means the community, safety, acceptable use, content, interaction and conduct
rules published by DateShala from time to time.
1.4. "Content" means any
text, data, information, profile material, photograph, image, audio, video,
message, review, rating, feedback, recording, file, communication or other
material made available on or through the Platform.
1.5. "Host",
"Expert", "Advisor", "Creator" or "Service
Provider" means any person onboarded, listed, verified, approved or
otherwise permitted by DateShala to provide calls, chats, consultations,
digital interactions, content, entertainment, relationship-related
interactions, advisory sessions or other services through the Platform.
1.6. "Services" means the
services, features and functionalities made available through the Platform,
including account registration, profile creation, matching/discovery, chat,
audio call, video call, live interaction, consultation, host interaction,
wallet/recharge, credits, subscriptions, customer support, content and other
digital features.
1.7. "User" means any person
who accesses or uses the Platform as a visitor, customer, viewer, subscriber,
member, account holder, participant or recipient of any Service.
1.8. "Wallet" means any
digital wallet balance, credit, coin, point, recharge amount, promotional
balance or similar in-app value provided for use on the Platform, subject to
applicable law and DateShala policies.
1.9. "You" or
"your" means any person accessing or using the Platform, including
Users and Hosts, unless the context requires otherwise.
2.
Acceptance of Terms and Legal Capacity
2.1. You agree that these Terms
constitute a binding legal agreement between you and DateShala.
2.2. You represent and warrant that you
are legally competent to enter into a binding contract under the Indian
Contract Act, 1872 and are not disqualified from contracting under any
Applicable Law.
2.3. DateShala may update or modify
these Terms from time to time. Continued use of the Platform after publication
of updated Terms shall constitute acceptance of such updated Terms.
3.
Eligibility and Age Restriction
3.1. The Platform is strictly available
only to persons who are 18 years of age or older.
3.2. By using the Platform, you
represent and warrant that you are at least 18 years of age and legally
competent to use the Platform.
3.3. DateShala does not knowingly
permit minors to register for or use the Platform. If DateShala becomes aware
that any account is operated by or for a minor, DateShala may immediately
suspend, restrict or terminate such account and take further action as required
under law.
3.4. DateShala may implement
age-gating, age assurance, age verification, identity verification, OTP
verification, device checks, KYC checks or other measures at any time.
3.5. You
shall not misrepresent your age, identity, gender, profile information,
location or eligibility.
4. Nature
of Platform and Services
4.1. DateShala is a technology-enabled
platform that may facilitate online interactions, chat, audio calls, video
calls, relationship-related conversations, social interactions, paid sessions,
advisory interactions, entertainment, and other digital services between Users
and Hosts/Experts.
4.2. Unless expressly agreed in
writing, Hosts/Experts are independent persons or service providers and are not
employees, agents, partners or legal representatives of DateShala.
4.3. DateShala does not guarantee any
match, relationship, date, companionship, compatibility, emotional outcome,
advice outcome, consultation result, earnings, availability, uninterrupted
service or user satisfaction.
4.4. The Platform may change, modify,
suspend, discontinue, add or remove any feature, service, category,
Host/Expert, price, interface, offer, subscription or functionality at any
time.
5. Account
Registration and Security
5.1. You may be required to register
through a mobile number, OTP, email, social login, app store login, KYC process
or any other method enabled by DateShala.
5.2. You are responsible for
maintaining the confidentiality of your Account, device, password, OTP, login
credentials and access details.
5.3. You are responsible for all
activity occurring under your Account, except to the extent caused solely by
DateShala’s proven fault.
5.4. You shall immediately notify
DateShala if you suspect unauthorised access, misuse, theft, compromise or
breach of your Account.
5.5. You shall not create fake
accounts, duplicate accounts, automated accounts, bot accounts, accounts for
minors, accounts using stolen credentials, or accounts intended to bypass
restrictions, payment obligations, moderation, offers or safety measures.
5.6. DateShala may refuse registration,
suspend registration, require re-verification, or terminate an Account at any
time for safety, compliance, fraud prevention or policy enforcement.
6.
Additional Terms for Users and Hosts
6.1. Users are additionally governed by
the User Terms, Host Terms, Privacy Policy and Community Guidelines.
6.2. Hosts/Experts are additionally
governed by the Host Policy, Host Agreement, payout terms, tax documentation,
content rules, verification requirements and any other onboarding terms issued
by DateShala.
6.3. In
addition to the present policy, the User/ Host may be subjected to other
policies of DateShala notified time to time and published on the DateShala
website and/ or the Application.
6.4. The
User/Host shall have a continuing duty to immediately report to DateShala any
inappropriate, unlawful, abusive, misleading, offensive, obscene, harassing,
discriminatory, exploitative, unsafe, or otherwise objectionable content,
conduct, communication, listing, profile, session, or activity encountered on
or through the DateShala website and/or Application.
6.5. In the
event the User/Host fails to report the same immediately upon becoming aware of
it, DateShala shall not be responsible for any loss, harm, damage, claim,
dispute, or consequence arising therefrom or in connection therewith.
6.6. The
User/Host shall be deemed to have waived, to the maximum extent permissible
under law, any right to make any claim, complaint, demand, or allegation
against DateShala in respect of such content, conduct, communication, listing,
profile, session, or activity, where the same was not reported immediately
despite knowledge thereof.
7. User
and Host Conduct
7.1. All persons using the Platform
must act lawfully, respectfully, honestly and responsibly.
7.2. You shall not harass, abuse,
threaten, stalk, intimidate, exploit, defame, blackmail, impersonate, deceive,
or discriminate against any person.
7.3. You shall not use the Platform for
prostitution, escort services, sexual exploitation, trafficking, obscene
publication, pornography, child sexual abuse material, non-consensual intimate
imagery, sextortion, revenge porn, or any illegal activity.
7.4. You shall not solicit money,
gifts, loans, financial information, passwords, OTPs, identity documents,
private images, sensitive personal information or any benefits from any person
apart from what is expressly permitted by DateShala.
7.5. You shall not share, publish,
transmit, record, screenshot, screen-record, distribute or misuse any private
interaction, call, video call, chat, photo, image, profile, personal data or
Content of another person without lawful authority and consent.
7.6. You shall not bypass the Platform
by directly contacting, paying, hiring, engaging or soliciting any User or
Host/Expert outside the Platform for services discovered through DateShala.
7.7. You shall not scrape, crawl,
index, reverse engineer, copy, decompile, modify, interfere with, overload,
hack, damage, disrupt or attempt unauthorised access to the Platform or its
systems.
7.8. You shall comply with the
Community Guidelines and all instructions, safety notices, warnings and
moderation decisions issued by DateShala.
8.
Prohibited Content and Activities
8.1. You shall not upload, transmit,
display, publish, request, promote, facilitate or engage in any Content or
activity that is unlawful, harmful, abusive, obscene, sexually explicit,
exploitative, violent, hateful, discriminatory, defamatory, misleading, fraudulent,
invasive of privacy, infringing, deceptive, threatening or otherwise
objectionable.
8.2. The following are strictly
prohibited: child sexual abuse material; sexual content involving minors;
grooming; trafficking; prostitution; escort services; non-consensual intimate
imagery; blackmail; sextortion; fraud; phishing; impersonation; catfishing;
doxxing; stalking; hate speech; communal abuse; terrorism; self-harm
encouragement; sale of illegal goods or services; and any activity prohibited
by law.
8.3. DateShala may remove Content,
restrict features, block accounts, preserve evidence, report to law
enforcement, or take legal action where prohibited Content or conduct is
suspected.
9. Chat,
Audio Call, Video Call and Interactive Features
9.1. The Platform may provide
interactive features including chat, audio call, video call, live session,
virtual consultation, digital content exchange, support chat, group session or
other communication features.
9.2. You acknowledge that digital
interactions involve risks. You are solely responsible for your communications,
decisions and conduct.
9.3. You shall not record,
screen-record, screenshot, reproduce, store, publish, circulate or misuse any
private interaction or Content without express consent and lawful basis.
9.4. DateShala may process session
logs, timestamps, durations, billing logs, call metadata, chat metadata,
complaint records, moderation signals, safety flags and technical logs for
service delivery, billing, fraud prevention, moderation, dispute resolution,
legal compliance, quality improvement and security.
9.5. Where DateShala records, monitors
or reviews any interaction for safety, legal compliance, quality, moderation,
dispute resolution or training, such processing shall be subject to its Privacy
Policy and Applicable Law.
9.6. The availability, quality and
continuity of audio/video/chat services may depend on internet connectivity,
device settings, telecom networks, third-party SDKs, payment status, account
standing and technical factors beyond DateShala’s control.
10.
Payments, Wallet, Credits, and Subscriptions
10.1. Certain Services may require
payment, subscription, wallet recharge, credits, coins, pay-per-minute charges,
pay-per-session charges, fixed fees, platform fees, taxes or other charges
displayed on the Platform.
10.2. You agree to review all applicable
charges before using paid Services.
10.3. Wallet balance, credits, coins,
promotional credits or similar in-app value may be used only within the
Platform and may not be transferred, sold, exchanged or redeemed for cash
except as required by law or expressly permitted by DateShala.
10.4. DateShala may deduct charges based
on call duration, chat duration, service category, Host/Expert rate,
subscription plan, package, fixed session fee or such other billing method
displayed on the Platform.
10.5. DateShala may correct, reverse,
suspend, withhold or adjust wallet balances, credits, payouts, incentives,
refunds or transactions in case of fraud, misuse, technical error, chargeback,
failed payment, policy breach, duplicate credit or legal requirement.
10.6. Payments may be processed by
third-party payment gateways, banks, UPI providers, card networks, app stores
or other payment service providers. Their respective terms and policies may
apply.
10.7. Taxes, duties, levies, TDS, GST,
payment gateway charges or other statutory amounts may be charged, deducted or
reported as applicable.
11.
Refunds, Cancellations and Chargebacks
11.1. Refunds and cancellations are
governed by the Refund and Cancellation Policy.
11.2. Unless expressly stated otherwise,
completed sessions, consumed calls, consumed chats, partially used services,
activated subscriptions, promotional credits, bonus credits and services
affected by user-side network/device issues may be non-refundable.
11.3. Refunds may be considered for
failed transactions, duplicate payments, non-delivery due to Platform error,
proven technical failure attributable to DateShala, or other cases specified in
the Refund and Cancellation Policy.
11.4. DateShala may require transaction
IDs, screenshots, bank statements, device logs, session details or other
supporting information to verify refund requests.
11.5. Abusive chargebacks, false refund
claims, payment manipulation or misuse of promotional credits may result in
Account restriction, recovery, suspension or legal action.
12.
Host/Expert Relationship and Platform Responsibility
12.1. Hosts/Experts may provide
services, interactions or content independently through the Platform. Unless
expressly agreed in writing, DateShala is not the employer, principal, partner,
agent or guarantor of any Host/Expert.
12.2. DateShala may facilitate
discovery, booking, communication, payment collection, moderation, support and
dispute handling; however, DateShala does not guarantee the truth, accuracy,
suitability, quality, legality, availability, expertise or conduct of any
Host/Expert.
12.3. DateShala may remove, delist,
suspend or terminate any Host/Expert for policy breach, safety risk, legal
issue, user complaint, fraudulent activity, poor quality, non-compliance, or
any other reason deemed appropriate.
12.4. Hosts/Experts shall comply with
the Host Policy, Community Guidelines, confidentiality obligations, privacy
obligations, payout terms, tax requirements and all Applicable Law.
13. User
Content and License
13.1. You retain ownership of Content
that you lawfully upload or submit, subject to the licence granted to DateShala
under these Terms.
13.2. By uploading, submitting, sharing
or making Content available on or through the Platform, you grant DateShala a
worldwide, non-exclusive, royalty-free, sublicensable and transferable licence
to host, store, reproduce, display, transmit, process, moderate, adapt, remove,
analyse and use such Content for operating, providing, securing, improving,
promoting and enforcing the Platform and its policies.
13.3. You represent that you have all
rights, permissions and consents required to upload or share such Content.
13.4. DateShala may remove, restrict,
disable, archive, preserve or disclose Content where required for safety, legal
compliance, rights protection, investigation, dispute resolution or
enforcement.
14.
Intellectual Property Rights
14.1. All rights, title and interest in
the Platform, including software, source code, object code, design, trademarks,
logos, trade names, service marks, graphics, interfaces, layouts, databases,
algorithms, text, content, compilations, workflows and documentation, belong to
DateShala or its licensors.
14.2. Subject to these Terms, DateShala
grants you a limited, personal, revocable, non-exclusive, non-transferable and
non-sublicensable licence to access and use the Platform for lawful personal
purposes.
14.3. You shall not copy, reproduce,
modify, distribute, sell, lease, sublicense, reverse engineer, decompile,
disassemble, scrape, exploit or create derivative works from the Platform or
any proprietary material without prior written consent.
14.4. All goodwill arising from use of
DateShala marks shall accrue solely to DateShala.
15.
Privacy, Personal Data and Data Protection
15.1. DateShala processes personal data
in accordance with its Privacy Policy and applicable data protection laws,
including the Digital Personal Data Protection Act, 2023 and rules framed
thereunder as and when applicable.
15.2. By using the Platform, you
acknowledge that DateShala may process personal data for purposes including
account creation, OTP verification, age verification, identity/KYC
verification, service delivery, chat/call functionality, payment processing,
wallet management, fraud prevention, safety, moderation, customer support,
analytics, legal compliance, dispute resolution and platform improvement.
15.3. You must not provide false
personal data or disclose personal data of any other person without lawful
authority and consent.
15.4. You may have rights under
applicable data protection law, including rights of access, correction,
completion, updating, erasure, grievance redressal, consent withdrawal and
nomination, subject to the Privacy Policy and Applicable Law.
15.5. DateShala may share data with
service providers, processors, payment partners, cloud providers, communication
providers, analytics providers, fraud prevention tools, customer support tools,
law enforcement, regulators, courts and other persons where necessary and
lawful.
16.
Third-Party Services and Links
16.1. The Platform may contain
integrations, links, SDKs, APIs or access to third-party services, including
payment gateways, banks, UPI providers, telecom providers, video/audio call
SDKs, analytics tools, app stores, cloud service providers, advertising tools,
customer support tools and social media platforms.
16.2. Third-party services are governed
by their own terms and policies. DateShala is not responsible for third-party
availability, failures, policies, security practices, content or actions,
except to the extent required by law.
17.
Safety, Reporting and Moderation
17.1. DateShala may use automated tools,
manual review, user reports, behavioural signals, metadata, device signals,
payment risk signals and other measures to detect abuse, fraud, unsafe conduct,
policy violations and illegal activity.
17.2. DateShala may take any action it
considers necessary or appropriate, including warning, removal of Content,
feature restriction, account suspension, termination, withholding payments,
preservation of records, reporting to authorities, legal action and cooperation
with law enforcement.
17.3. Users and Hosts must promptly
report unsafe, fraudulent, unlawful, abusive, exploitative, suspicious or
policy-violating conduct through the Platform or the published
support/grievance channels.
17.4. False, frivolous, malicious or
misleading complaints may result in action against the complainant.
18.
Grievance Redressal and Customer Support
18.1. For customer support, payment
issues, safety concerns, content reports, privacy requests or complaints, you
may contact DateShala through the Platform or the details published below.
18.2. DateShala may require supporting
details, transaction IDs, screenshots, device details, session details, user
IDs, call/chat logs or other information to verify and resolve complaints.
18.3. DateShala will endeavour to
respond to and resolve grievances within timelines prescribed under Applicable
Law.

19.
Suspension, Restriction and Termination
19.1. DateShala may suspend, restrict,
disable, delist or terminate any Account or access to the Platform, with or
without prior notice, if DateShala believes that you have violated these Terms,
any policy, Applicable Law, safety standards, payment obligations or community
standards.
19.2. Grounds for action may include
fake identity, minor use, abusive conduct, fraud, illegal content, payment
misuse, chargeback abuse, bypassing the Platform, harassment, threats,
non-consensual recording, privacy violation, security risk, law enforcement request,
court order, government direction or reputational/safety risk to DateShala.
19.3. Upon termination, your right to
use the Platform ceases immediately. DateShala may retain certain information
as required for legal compliance, accounting, tax, fraud prevention, safety,
dispute resolution, regulatory obligations and enforcement.
19.4. Termination shall not affect
accrued rights, payment obligations, refund decisions, indemnities,
disclaimers, limitation of liability, dispute resolution, intellectual property
rights and provisions intended to survive termination.
20.
Account Deletion and Data Retention
20.1. You may request deletion or
closure of your Account through the Platform or support channels, subject to
authentication and applicable retention requirements.
20.2. DateShala may retain certain
records where necessary for tax, accounting, payment, fraud prevention, safety,
dispute resolution, law enforcement, regulatory compliance, legal claims,
audit, backup, security or other lawful purposes.
20.3. Deletion of your Account may
result in loss of access to profile data, messages, wallet, credits, history,
subscriptions, offers, support history and other Platform features, subject to
refund and retention policies.
21.
Electronic Communications and Notices
21.1. You consent to receive
communications from DateShala through SMS, email, WhatsApp, phone calls, push
notifications, in-app messages, website notices or other electronic means for
service, transactional, security, legal, support, policy and account-related
purposes.
21.2. Marketing communications may be
subject to your consent and Applicable Law. You may opt out of promotional
communications where such option is provided.
21.3. Notices to DateShala must be sent
to the official contact details published in these Terms or on the Platform.
22.
Disclaimers
22.1. The Platform and Services are
provided on an "as is", "as available" and "with all
faults" basis, to the maximum extent permitted by law.
22.2. DateShala disclaims all
warranties, express or implied, including warranties of accuracy, availability,
merchantability, fitness for a particular purpose, non-infringement,
uninterrupted service, security, error-free operation and suitability of
Hosts/Experts or interactions.
22.3. DateShala does not guarantee that
any User or Host is truthful, safe, verified, compatible, available, suitable,
lawful or reliable.
22.4. Any advice, consultation, opinion
or information received through the Platform is not a substitute for
professional legal, medical, psychological, psychiatric, financial or emergency
advice.
22.5. You use the Platform voluntarily
and at your own risk.
23.
Limitation of Liability
23.1. To the maximum extent permitted by
law, DateShala, its affiliates, directors, officers, employees, contractors,
service providers and representatives shall not be liable for any indirect,
incidental, special, consequential, punitive or exemplary damages, including
loss of profits, loss of data, loss of opportunity, reputational harm,
emotional distress, personal injury, business interruption or loss arising out
of or related to the Platform.
23.2. DateShala shall not be liable for
conduct, Content, statements, omissions, promises, actions or services of
Users, Hosts/Experts or third parties; offline meetings or communications;
unauthorised recordings; payment gateway failure; telecom failure; internet
failure; device issues; force majeure events; or information provided by you.
23.3. Subject to Applicable Law,
DateShala’s total aggregate liability for any claim shall not exceed the amount
paid by you to DateShala for the specific Service giving rise to the claim
during the preceding [one/three] months, or INR [●], whichever is lower.
23.4. Nothing in these Terms shall
exclude liability that cannot be excluded under Applicable Law.
24.
Indemnity
24.1. You agree to indemnify, defend and
hold harmless DateShala, its affiliates, directors, officers, employees,
contractors, agents, service providers and representatives from and against all
claims, demands, actions, losses, liabilities, damages, penalties, costs and
expenses, including legal fees, arising out of or related to your use or misuse
of the Platform, breach of these Terms, violation of law, Content, conduct,
fraud, misrepresentation, infringement of rights, privacy violation,
harassment, abuse, unauthorised recording, payment misuse or dispute with
another User/Host/third party.
24.2. DateShala reserves the right to
assume exclusive defence and control of any matter subject to indemnification,
and you agree to cooperate with DateShala in such defence.
25. Force
Majeure
25.1. DateShala shall not be liable for
delay, failure, interruption or non-performance caused by events beyond its
reasonable control, including natural disasters, fire, flood, epidemic,
pandemic, war, terrorism, riots, strikes, labour disputes, cyberattacks,
internet failures, telecom failures, power failures, payment system failures,
cloud failures, government actions, court orders, regulatory restrictions or
other force majeure events.
26.
Governing Law and Jurisdiction
26.1. These Terms shall be governed by
and construed in accordance with the laws of India.
26.2. Subject to the dispute resolution
process below, the courts at [City, State], India shall have exclusive
jurisdiction over disputes arising out of or in relation to these Terms, the
Platform or the Services.
27.
Dispute Resolution
27.1. Customer Support and Mutual
Discussion: In the event of any dispute, complaint, claim or controversy
arising out of or in relation to these Terms, the Platform, the Services,
payments, wallet, calls, chats, Host interactions or any other matter, the concerned
party shall first raise the issue with DateShala’s customer support through the
support mechanism available on the Platform or by writing to [Customer Support
Email].
27.2. Timeline for Internal Resolution:
Upon receipt of the complaint, DateShala shall endeavour to resolve the issue
through mutual discussion and internal review within 15 days. If the matter
requires additional review, technical verification, payment gateway
confirmation, Host/User response, or examination of records, DateShala may
extend the resolution period by a further 15 days after informing the
complainant.
27.3. Escalation to Grievance Redressal
Officer: If the dispute is not resolved within the aforesaid period, or if the
complainant is dissatisfied with the response of customer support, the
complainant may escalate the matter to DateShala’s Grievance Redressal Officer
at the details published in these Terms or on the Platform.
27.4. Final Internal Review: The
Grievance Redressal Officer shall endeavour to resolve the dispute within 30
days from the date of escalation, or within such timeline as may be prescribed
under Applicable Law.
27.5. Courts: If the dispute remains
unresolved after escalation to the Grievance Redressal Officer, either party
may approach the courts having jurisdiction under Clause 26. There shall be no
arbitration between the parties.
27.6. Interim Relief: Nothing in this
clause shall prevent DateShala from seeking urgent interim, injunctive,
equitable or protective relief before any court of competent jurisdiction.
28.
Assignment and Transfer
28.1. You may not assign, transfer,
sublicense or delegate your rights or obligations under these Terms without
prior written consent of DateShala.
28.2. DateShala may assign or transfer
its rights and obligations to any affiliate, successor, acquirer, purchaser,
investor or third party in connection with restructuring, merger, acquisition,
sale of assets, business transfer or change of control.
29.
Severability, Waiver and Entire Agreement
29.1. If any provision of these Terms is
held invalid, illegal or unenforceable, the remaining provisions shall continue
in full force and effect.
29.2. Failure or delay by DateShala to
enforce any right or provision shall not constitute waiver of that right or
provision.
29.3. These Terms, together with the
User Terms, Host Policy, Privacy Policy, Refund and Cancellation Policy,
Community Guidelines and other applicable policies, constitute the entire
agreement between you and DateShala regarding use of the Platform.
29.4. Headings are for convenience only
and shall not affect interpretation.
30.
